Role of Marin General

Marin General Hospital is not-for-profit, tax-exempt corporation, whose mission is to provide healthcare services to the residents of Marin County. The corporation operates Marin General Hospital under a lease with the Marin Healthcare District.

The Board of Directors is local and comprised of thirteen voting and three non-voting directors. The thirteen voting directors include two physicians, eight lay community representatives who must be residents of Marin County, two directors appointed by Sutter Health, and the Chief Executive Officer who serves as ex officio director with vote. The three non-voting directors are the Chief of the Medical Staff, the Chair of the Volunteer Council and the Chair of the Foundation. All directors other than ex officio directors serve three-year terms and may not serve more than two consecutive terms.

Two of the six lay community representatives are nominated by the Marin General Medical Staff and four are nominated by the Marin General Board Nominating Committee. The nominees are presented to the Board of Marin General Hospital Foundation for election.

The Marin General Hospital Board holds primary responsibility for governing the Marin General healthcare delivery system, overseeing quality of health care services, ensuring the hospital is operated for the benefit of the community, establishing the strategic plan and developing operating and capital budgets submitted for approval to the Marin General Hospital Foundation and Sutter Health.

The Marin General Hospital board initiates and sets all operating policy for Marin General Hospital. Neither the Marin General Hospital Foundation Board nor the Sutter Health Board make operating policy for Marin General Hospital. Decisions concerning operations of Marin General Hospital are also made locally, although certain major non-routine decisions are subject to approval of the Marin General Hospital Foundation and Sutter Health Boards. Examples of decisions made entirely at the local level are:

  1. Patient care staffing decisions
  2. Approving the addition of new physicians to the Hospital Medical Staff
  3. Planning and approval of community benefit activities
  4. Decisions concerning the terms of labor contracts with labor unions representing Marin General employees.

Certain major, non-routine decisions of the Marin General Hospital Board require approval of the Marin General Hospital Foundation and Sutter Health Boards. Examples of decisions made by the Marin General Hospital Board and approved by the Marin General Hospital Foundation and/or Sutter Health Boards are:

  1. Adoption of operating and capital budgets
  2. The decision to affiliate Marin General Hospital through Marin General Hospital Foundation.
