Role of Marin General Hospital Foundation

Marin General Hospital Foundation is not-for-profit, tax-exempt corporation, which provides a mechanism for Marin General Hospital to engage in countywide planning and coordination of healthcare services.

Through Marin General Hospital Foundation, Marin General Hospital plans to provide seamless health service throughout Marin County, avoiding unnecessary duplication and making resource allocation decisions to best serve all County residents.

Marin General Hospital Foundation broadens the base of community governance for the Marin/Novato health delivery system. The Marin General Hospital Foundation Board and committees include many dedicated community members who help plan health care on a countywide basis.

The Marin General Hospital Foundation Board does not make operating policy for Marin General Hospital. However, the Marin General Hospital Foundation Board approves certain major actions that are developed and first approved by the Marin General Board of Directors, including commencing or terminating a major new program or clinical service, and approving operating and capital budgets developed and approved by the Marin General Board. All Marin General decisions that are subject to Marin General Hospital Foundation approval are also subject to approval by Sutter Health. These approval items are generally non-routine, major decisions that potentially could have a significant financial impact on the hospital and possibly the Sutter system.

MGHF elects directors to serve on the Marin General Hospital Board from nominees submitted by the hospital Board.

The Marin General Hospital Foundation Board of Directors is comprised of thirteen voting directors and two non-voting directors. The twelve voting directors include the Chief Executive Officer, the Chief of Staff of Marin General Hospital; two directors appointed by Sutter Health and eight lay community representatives who must be residents of Marin County. In addition, the Chair of the Marin IPA and the Chair of Marin Physician Hospital Organization are non-voting directors. The lay community directors are nominated by a Marin General Hospital Foundation Board Nominating Committee. The nominees are presented to the Board of Sutter Health for election.
